  1. Prior business doubtful. Seemingly new business between confirmation and effective date, the new creditors (contractors, suppliers, attorneys) would have more than the usual hard time collecting payment from a debtor in bankruptcy.

A year ago in Ellis vs. Westinghouse Electric, the Third U.S. Circuit Court of Appeals Judge Ambro issued this opinion: "...But what if the claim arose after a plan was confirmed and before it goes into effect? To our knowledge, no federal appellate court has directly addressed this issue. We hold that sections 503 and 1141 of the Bankruptcy Code authorize bankruptcy courts to set and enforce bar dates for administrative expense claims, including claims arising after confirmation of a plan but before its effective date. The holder of a post-confirmation administrative expense claim cannot choose to bypass the bankruptcy process, so if the claim is not timely filed by the bar date, it faces discharge like a pre-confirmation claim."

We honour her legacy of service to the Commonwealth and to the Scouting Movement. We extend our deepest sympathies to the Royal Family and to the countless people around the world who will be affected by this loss. HM The Queen will be remembered for her unwavering support for Scouting worldwide. The Queen ascended the throne at a young age and devoted her life to public and voluntary service which she saw as one of the most important elements of her work. Her stoicism, her sense of duty and her strength are examples to all Scouts. Thousands of our members have been inspired to become Queen’s Scouts, the peak award of the Venturer Scout Section. This achievement takes personal determination, dedication and service to the community, qualities that she herself demonstrated. We will be forever grateful for her enthusiastic support and inspirational leadership. Indefatigable in her official duties, she travelled around the world and endeavoured to meet with Scouts everywhere including on her 16 Royal visits to Australia. Our members have been guards of honour at her many visits around the country, which will be a particularly enduring memory for those Scouts. She gave us a shining example of kindness and respect for one another, and her dedication to service will continue to be an inspiration to Scouting.   4. Chief Scout Bear Grylls Remembers HM the Queen As a family of Scouts, we are united in sorrow for the loss of our Patron, HM The Queen. She leaves a bright legacy of hope and promise for future generations. Together, we will honour her memory. We will remember her and give thanks for her kindness, her service, and the unwavering support she showed our movement over many decades. She was truly a friend to Scouts everywhere. I will miss her quiet leadership, her values and integrity, and her wonderful sense of humour. While she was our monarch and Patron, she always made time to listen to our Scouts and recognise their achievements. Her smile would light up the room. For 70 years HM The Queen has stood at our side, encouraging our volunteers and inspiring our young people to learn new skills, help others and shine brightly. Her sense of duty was an outstanding example to every single Scout during her long and eventful reign. ‘Scouting is a global force for good’ she once told us. ‘In this country and around the world, Scouts are helping others and making the most of their lives.’ So many Scouts aspired to become a Queen’s Scout. Those dedicated young people earn our highest award, the pinnacle of their time in the movement. It’s one of my greatest honours as Chief Scout to congratulate these incredible young people each year. It was a very special moment when HM The Queen herself met our Queen’s Scouts in our Centenary year 2007. This reprised her review of Queen’s Scouts in 1952, the year her father, HRH George VI passed on. Just as HM The Queen supported Scouts, we have been there for her too, looking after the crowds during her coronation in 1953. We were so proud to confer upon her the Gold Wolf (the only one of its kind) as she became our Queen and Patron. She played a full part in the life of our movement, meeting young people, attending Scout events and shows. Her visit with HRH The Duke of Edinburgh, to the Jubilee Jamboree Indaba Moot in Sutton Coldfield in 1957 was an unforgettable highlight of celebrating the movement’s 50th anniversary. She toured the site in a Land Rover and met so many of the Scouts gathered from all over the world. Fittingly, she launched the RNLI lifeboat, The Scout, in Hartlepool in 1977, following heroic fundraising efforts by members of the movement. It saw many years’ service and saved many lives. n 1961, HM The Queen graciously opened Baden-Powell House, Scouts’ international hostel in South Kensington, just as she would our new headquarters in 1976 and our refurbished training centre at Gilwell Park in 1995. She continued to take a lively interest in our work, as our movement developed and changed over the years. These changes included welcoming girls into the movement and became ever more diverse. The outpouring of devotion and affection during her jubilee years gave a sense of how much she was admired, both within our movement and by the whole country. HM The Queen sent her well wishes to our 120,000 Cubs during the Cubs centenary year in 2016, and was an especially strong champion of our work supporting young people in areas with the fewest opportunities. She strongly supported our pioneering work with early years, helping those families and young people hit hardest by the pandemic. It will take time for our movement and our nation to recover from this loss. But we owe it to her to pick ourselves up and carry her legacy forward. She will live long in the memory and will be remembered by the countless individual stories of kindness our Scouts and volunteers will share for years to come. Let’s not be downhearted at this difficult time, but extend our sincere sympathies to her family and many friends. Let’s not forget she was a devoted mother, grandmother and great grandmother too. Let’s take great solace and comfort in her warm-heartedness towards young people, her devotion to her duty and most of all her kindness. In memory of our great Patron, let’s show that same sense of kindness and respect to each other. A great book has closed - not just a chapter - and a new one now begins.   7. Bad wording on my part. Chapter 7 would end the corporation and IMHO, the Congressional Charter for a specific, non-existent entity would be...moot? If new Scouting organizations rose, would the BSA Congressional Charter automatically transfer to any of them? IMHO no. Whatever the name, it/they would be a different corporations and I doubt any new Congressional Charters would be approved. The 1992 debate of ending Congressional Charters might resume in Congress. Not a lawyer, just another $0.01.

  9. If the BSA does go Chapter 7: Regarding program, my unit will go on scouting as it did during covid with little need for Council or National, except their self-justifying processes. I do wonder if the BSA trademarks will be freed to current licensees - units, members... As I understand, the Bankruptcy Code covers most intellectual property but NOT trademarks. See 11 U..S.C. § 101(35A). So maybe current units could run their scouting programs and award Scouting ranks accordingly. I also wonder if "current licenses" might extend to "public domain" if the BSA Congressional Charter is declared ended. After all, the BSA has not reported to the Nation in the last two years.   10. Long Beach Troop Marooned on Catalina Island...again The scouts met at 6 a.m. at Long Beach Yacht Club on a Saturday for a supposed three-hour cruise. They sailed to Cabrillo Harbor Beach on the north side of Catalina Island. It is a remote beach accessible only by boat. Once there, an abandon ship announcement was made and the scouts all swam ashore. This trip, according to the letter sent to parents “there may be some MRE food rations hidden on the island or possibly washed ashore during the shipwreck.” A far cry from gourmet food, but this was a survival weekend. The troop members prepared weeks in advance, and the more senior scouts taught workshops on fire, shelter, signaling, provisions and first aid. The sessions included education demonstrations for the basic survival skills “everyone who ventures into the outdoors should understand and be fully prepared for this adventure.” The letter also stated “Word of Caution; As much fun as this sounds, this trip is not for everyone. There will be no bathrooms, no shelters for shade, no fresh water, and the troop will not be providing troop tents, food boxes, wood cook boxes or any other gear from troop storage. Update 8/24/2022 Camp Bomazeen, Maine: “The Court finds that (Pine Tree Council’s) proposed use of the proceeds to benefit the PTC itself and pay off unrelated debts is inconsistent with the trust purposes,” the document read. “If PTC sells the property, the proceeds must not only be used for the Boy Scouts of America in general, but also for ‘camping purposes … and especially for the troops and members of the Boy Scouts of America in the central part of the State of Maine.'” The deed refers to a charitable trust that was created by George Averill in 1944. Update Aug 23, 2022 Arizona’s Grand Canyon Council dropped plans to sell Camp Geronimo after parents and former Scouts ignited an outcry. “At that time, the best way that we could meet an obligation to fund our council's contribution to the Boy Scouts of America Settlement Fund was to contribute Geronimo and some additional cash,” Price said. “Since that time, we've had the benefit that the Chapter 11 case has taken longer than expected,” Price said. “That's given us more time to continue studying our camps and our facilities. “We were unhappy with the previous decision, but it was sort of the best of a lot of bad options,” Price said. “And now that we know more about the situation and some of the dynamics have changed slightly, we now have a new path that allows us to keep Camp Geronimo.” On July 20, the council announced (video above) it would keep Camp Geronimo open. ... The Grand Canyon Council is still required to contribute $7 million toward this settlement. Price said that the council will use some cash it has from the sale of Little Grand Canyon Ranch near New River about two years ago. The council is still planning to sell about 13 acres of the Heard Scout Pueblo's 500 acres in south Phoenix. And it is in the early stages of finding ways to monetize Camp Raymond, its 160-acre camp 30 miles outside of Flagstaff between the Kaibab and Coconino national forests, Price said. ... Silverstein’s 281-page opinion ...concluded that abuse victims can lose, without consent, their right to sue third parties that contribute to a mass settlement fund to pay them.
