Incorporation

A CC of a Troop in our area has indicated his desire to incorporate his
Troop Committee so as to limit the liability exposure of the committee
members. He claims that he is familiar with other units in the region
that have already done so. In this context, he has engaged an attorney
who is to undertake the necessary formalities.

Since all adult unit leaders act as volunteers to the CO's Scouting
program, they would be covered by the CO's corporate umbrella. Although
the reasons for this action are reasonable, I see a number of potential
conflicts that would arise from incoporating the Troop Committee,
especially without the CO's authorization. I will, nevertheless, spare
the list at this time. Other unit leaders I have questioned on this have
indicated that their respective Committees are not incorporated.
However, this is a small sample and may not be representative of the
whole. As such, I seek the collective wisdom and experience of the list
to clarify this matter.

Are there any Troop Commmitees that are incoporated? In what form? Is
such action proscribed by BSA? If not, what are the repercussions
(advantages, disadvantages, conflicts, etc.) of such action? How is the
personal liability of adult leaders covered? Through a BSA insurance
policy or through the CO? Does available coverage seem adequate in the
context of our litiginous society?
